These Terms and Conditions (“Terms”) outline the policies, rules, and limitations of services provided by Outsourcing Remotely, LLC (“Service Provider”) to its clients (“Client”). By engaging the Service Provider, the Client agrees to these Terms.
1. How Our Process Works
1.1. Discovery Call:The process begins with a consultation to discuss the Client’s requirements, including desired roles, skills, and experience for Virtual Assistants (VAs).
1.2. Hiring Process Starts:After the consultation, the Service Provider sources and interviews candidates based on the Client’s specifications. A shortlist of pre-vetted candidates is provided to the Client for review and selection.
1.3. Placement and Handoff Assistance:Once the Client selects a VA, the Service Provider facilitates onboarding and provides handoff support. After placement, the Client assumes full responsibility for managing and supervising the VA.
2. Payment Terms
2.1. All payments, including the one-time placement fee, are due in full upon acceptance of the VA.
2.2. The Client agrees not to dispute or initiate chargebacks for payments once the placement process begins.
2.3. Non-payment or disputes may result in immediate suspension of services, including forfeiture of the 12-month success guarantee.
3. 12-Month Success Guarantee
3.1. The Service Provider offers a 12-month success guarantee for the original VA placement. If the VA resigns, is terminated, or does not meet expectations within 12 months, the Service Provider will source and provide replacement candidates at no additional cost.
3.2. The guarantee applies exclusively to the original placement date. If a VA is replaced, the guarantee timeline does not restart but continues from the original placement date.
3.3. This guarantee does not apply to new team members or roles outside the original placement agreement, which are subject to separate fees and guarantees.
4. No Refunds Policy
4.1. All fees paid are non-refundable. The Client acknowledges that the Service Provider invests significant time and resources into sourcing and placing candidates.
4.2. The success guarantee is provided as an alternative to refunds to ensure Client satisfaction.
5. Community Guidelines
5.1. The Client agrees not to use the Service Provider’s services for any illegal, unethical, or discriminatory purposes, including but not limited to: • Harassment, exploitation, or abuse of VAs. • Misrepresentation of job roles, responsibilities, or compensation. • Engaging VAs in prohibited activities or tasks that violate applicable laws.
5.2. Breach of these guidelines may result in immediate termination of services without refund.
6. Limitation of Liability
6.1. The Service Provider shall not be liable for indirect, incidental, special, or consequential damages, including lost profits, even if advised of the possibility of such damages.
6.2. The Service Provider is not liable for delays or failure in performance resulting from causes beyond its reasonable control.
6.3. In no event shall the Service Provider’s total liability to the Client exceed the amount received for services in the one (1) month prior to the dispute.
6.4. Any claims or actions arising from these Terms must be brought within one (1) year of the cause of action.
7. Indemnification
7.1. The Client agrees to defend, indemnify, and hold harmless the Service Provider, its agents, employees, directors, officers, and owners from any loss, damages, or costs, including reasonable attorneys’ fees, arising from: • The Client’s breach of these Terms. • The Client’s violation of applicable laws.
7.2. The Service Provider agrees to defend, indemnify, and hold harmless the Client for any loss, damages, or costs, including reasonable attorneys’ fees, arising from the Service Provider’s breach of these Terms or applicable laws.
8. Privacy Policy
8.1. The Service Provider collects and uses information about the Client to operate its services and provide a seamless experience. This may include automatic data collection methods, such as cookies and web beacons.
8.2. Information collected may be used for purposes such as: • Data analysis. • Enhancing and improving services. • Marketing campaigns.
8.3. Clients may opt-out of marketing campaigns at any time by using the opt-out link in communications or by contacting the Service Provider directly

9. Modifications to Terms
The Service Provider reserves the right to amend these Terms at any time. Updates will be communicated to the Client, and continued use of services constitutes acceptance of the updated Terms.
10. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of New York.
